Changes to our terms of use

We may amend these terms of use from time to time, and the revised version will be effective when displayed here.

Reliance on information

This website and all of the material within it have been prepared with the aim of providing key information only. While we aim to ensure that the information is correct at the date on which it is added to the website, the position can change frequently, and content will not always be updated following any relevant changes.

Our liability

We will use our reasonable endeavours to ensure that the information on our website is accurate. However, you acknowledge and agree that Olympus Power and its members and employees accept no liability whatsoever in contract, tort or otherwise for any loss or damage caused by or arising directly or indirectly in connection with any use or reliance on the contents of our Portal.

Nothing in these terms of use shall exclude our liability to you for fraudulent misrepresentation by us or our employees or for death or personal injury resulting from our negligence or that of our employees.

Note that this Portal applies to procurement carried out in England, Wales, and in Scotland and is aimed primarily at providers of goods and services. In general, this website does not cover procurements for a "public works contract" as defined under the Public Contracts Regulations 2006 or the Public Contracts Regulations 2015.

Confidentiality

"Confidential Information" means all information and any idea in whatever form, tangible or intangible, whether contained within the Portal to or learned by you, pertaining in any manner to the business, marketing and / or advertisement activities or any affairs of Olympus, whether in written, graphic, coded or electronic form, and whether or not labeled as confidential by Olympus or otherwise provided by Olympus and includes, without limitation, the following: schematics, data, design drawings, billing information, connection offers, DNO data, solar data; and (b); any reports, analyses, compilations, notes, studies, memoranda or other documents prepared by, on behalf of or for you (or member of your group), to the extent derived from, containing or otherwise reflecting any information described above.

You will keep the Confidential Information secret and confidential.

You will use the Confidential Information solely for the purpose of considering, evaluating or negotiating the Projects and not for any other purpose.

You will procure that each of its employees, officers, advisors or affiliates or third parties (“Recipients”) to whom Confidential Information is disclosed is made aware (in advance of disclosure) of the undertakings and other terms of this Portal, and will use its commercially reasonable endeavours to procure that each such Recipient adheres to those undertakings and other terms as if that person were a party to this Agreement.  You will be responsible for any breach of the undertakings and other terms of this Portal by any of its Recipients.

You will keep the Confidential Information securely and properly protected against theft, damage, loss and unauthorised access (including access by electronic means) by any third party.

Without prejudice to the provisions of these terms and conditions, you shall inform us immediately if you become aware that Confidential Information has been disclosed to an unauthorised third party and shall take all steps as directed by the Olympus or as may reasonably be necessary to mitigate any adverse effect of such disclosure.

The obligations as specified in these terms and conditions shall not apply with respect to any Confidential Information to the extent that the Party can demonstrate, by clear and convincing evidence, that such Confidential Information:

  1. Is generally known to the public at the time of disclosure or becomes generally known through no act on the part of Olympus;
  2. Is in a third party's possession at the time of disclosure otherwise than as a result of the breach of these terms and conditions;
  3. Is released from the provisions of these terms and conditions by the written authorization of Olympus; or

To the extent is required to be disclosed by law, regulation or any governmental or competent regulatory authority (including, without limitation, any securities exchange), provided that, so far as it is lawful and practical to do so prior to disclosure, you shall promptly notify the us of the relevant Confidential Information of such requirement with a view, so far as is reasonably practical, to providing the opportunity for the us to (a) contest at its own cost and expense such disclosure or (b) agree the proposed form, timing, content and purpose of the disclosure

Non-Circumvention

You agree not to circumvent Olympus either directly or indirectly in undertaking the projects(s) contained in the Portal. You hereby confirm that you and any of your corporation, division, subsidiary, employer, employees or assignees will not make any contact with, deal with or otherwise involve in any financial transaction(s), with the counterparty(ies) introduced by us, without written permission of Olympus and the you hereby agrees to indemnify Olympus in full for any breach of this obligation.

 

Non-Circumvention

You agree not to circumvent Olympus either directly or indirectly in undertaking the projects(s) contained in the Portal. You hereby confirm that you and any of your corporation, division, subsidiary, employer, employees or assignees will not make any contact with, deal with or otherwise involve in any financial transaction(s), with the counterparty(ies) introduced by us, without written permission of Olympus and the you hereby agrees to indemnify Olympus in full for any breach of this obligation.

 Misuse of our website

You agree not to reverse engineer, hack, decompile, copy or adapt any software or other code or scripts forming part of our website nor attempt to transmit to or via our website any information that contains a virus, worm, trojan horse, or other harmful or disruptive component.

Material contained in our website is copyright © Olympus except where otherwise stated. You may download, view and print extracts from our website for internal use within your organisation, but must not otherwise copy, reproduce or re-distribute the contents of the Portal in whole or in part without our prior written consent. All other rights are reserved.

To ensure that any details that you supply to us to register for such access are accurate.

To let us know promptly if any of the details about you that you have supplied to us change.

Jurisdiction and law

Our website relates only to the laws of England and Wales except where expressly stated otherwise. These terms of use shall be governed by and interpreted in accordance with the laws of England and Wales and you agree to submit to the non-exclusive jurisdiction of the courts of England and Wales in respect of any disputes which may arise in relation to our website.
